and key company users through implementation planning, solution preparation and solution implementation. This user manual focuses on the business solutions offered by the product. It also presents key applications of the product in order to help users establish business requirements and product solutions. This user manual is divided into three parts. The first part is a brief introduction to the product and its values. The second part elaborates on main business scenarios and processes in Commercial Bills and the corresponding product functions. The third part discusses the initial settings of product implementation. This includes promissory notes designating the drawer as the payer of a certain sum, and bills and cheques entrusted to an authorized party to make unconditional payment of a certain sum. Commercial Bill A commercial bill refers to a type of bill issued and signed by the payer or depositor (or acceptance applicant), accepted by the acceptor and paid to the payee or endorsee on the due date. Commercial bills include commercial acceptance bills and bank acceptance bills, determined according to the acceptor. Bank Acceptance Bill Bank acceptance bills are issued by the drawer, submitted to the deposit bank by the acceptance applicant and, once acceptance is confirmed by the bank, paid unconditionally to the value of the confirmed sum by the delegated payer to the payee or holder on the specified date. The bank is the first payer. The drawer of the bank acceptance bill must be the legal entity holder of a deposit account opened at the acceptance bank, and another organization, and must have a genuine delegated payment relationship with the acceptance bank, a good credit rating and a reliable source of funds sufficient to meet the bill amount. 用友网络科技股份有限公司 6Commercial Acceptance Bill A commercial acceptance bill is issued by the drawer, accepted by a payer who is not connected to the bank and paid unconditionally. The value should be equal to the pre-determined sum and should be paid by the delegated payer to the recipient or holder on the specified date. The payer is the acceptor, and the drawer can be either the payee or the payer. The following features distinguish commercial drafts from other settlement methods: The use of commercial bills is comparatively restricted; commercial bills can only be issued for commodity transactions conducted between companies that are in accordance with the law and the purchase and sales contracts concerned. Commercial bills cannot be used for any type of settlement other than a commodity transaction, including labor remuneration, debt repayment and credit loans. Commercial bills can only be used by a comparatively small number of parties. Commercial bills is used by a legal entity which has opened an account with the bank concerned. The commercial bill may be issued by the payer or the payee, but both are subject to acceptance. Only accepted commercial drafts have legal effects. The acceptor is liable for making an unconditional payment on the maturity date. If the acceptor fails to make the payment when the commercial draft reaches maturity, or if he or she refuses to pay for legal reasons, then the debtor may seek compensation from the acceptor for the amount of the bill. This is in accordance with the endorsement transfer procedure for the commercial bill, and all related parties will bear any associated liabilities. The tenor of the commercial bill will be decided by both parties, and will generally be between three and six months. It cannot exceed nine months. Matured and un-matured commercial drafts can be discounted at the bank concerned in order to form a combination of settlement and bank finances.
